Partner carriers
Partner carrier agreement
Version 5.0, effective 20 October 2026, approved by the director. Replaces version 4.1, 19 October 2026. These are the standard terms we sign with each partner carrier. They work alongside our customer transport terms (version 7). What’s new in version 5.0: DRVX pays you on fixed terms, within 30 days of the end of the month in which you deliver the job and upload a valid proof of delivery, whether or not the customer has paid DRVX (clauses 10 and 12); payouts come with a self-billing statement (clause 10); late-payment interest (clause 10); a new Schedule 3 for jobs DRVX takes on from freight exchanges and subcontracts to you. Everything else, including the partner price list (Schedule 1) and the referral scheme (Schedule 2), is unchanged from version 4.1. Partners who signed an earlier version are asked to sign version 5.0 before DRVX passes them more work.
- The parties. DRVX LTD, trading as DRVX Transport, company no. 17519121, registered office 13 Briscoe Walk, Middleton, Manchester M24 4LG (“DRVX”), and the carrier named in the signed partner agreement (“you”, the “partner carrier”).
- What DRVX does. DRVX finds customers, takes their transport requests and passes suitable jobs to you on a job sheet. DRVX acts as your disclosed agent for each job you accept. We tell the customer that you carry the job, we make the contract for carriage between you and the customer on your conditions of carriage, and we collect the price from the customer on your behalf. DRVX is not a carrier and does not operate goods vehicles.
- What you do. You carry each job you accept with reasonable care and skill, on your own conditions of carriage, using your own vehicles, drivers and approved subcontractors. You are responsible for the goods while they are in your care, and for loss, damage or delay in transit as set out in your conditions.
- Licences and insurance. You must hold, and keep, a valid operator’s licence for any vehicle over 3.5 t, goods-in-transit insurance and public liability insurance suitable for the work you accept. Send us the certificates and tell us straight away if any of them lapses, is suspended or changes. DRVX checks the public operator licence register and may stop passing work if anything is missing.
- The partner price list (Schedule 1). By signing this agreement you adopt the DRVX partner price list in Schedule 1 as your own prices: the prices for standard jobs and DRVX’s set prices for specialist work and hire with driver. The price list is your price for the carriage, which you supply to the customer; DRVX quotes customers from it as your agent. Schedule 1 is given to you with this agreement and is available from DRVX at any time. It sets out the vehicles and job types that count as standard, the set prices, how the price is worked out (per-mile rate, minimum charge, day or hourly rate and extras) and the version in force. Each job sheet shows the listed price for that job. Every price in Schedule 1 includes any VAT you charge, so the customer’s quote is the final total and nothing is added on top. If you are VAT registered, your ex-VAT price is the listed price ÷ 1.2. DRVX gives you 30 days’ notice in writing of any change to Schedule 1; if you don’t agree, tell us and you may end this agreement under clause 16. Jobs already accepted keep the price on their job sheet.
- Job sheets, accepting and declining. Every job sheet shows the collection and delivery areas, the goods, timings and the price. You choose whether to accept. For a job with a price in Schedule 1 you accept or decline at the listed price. For a job Schedule 1 doesn’t price (currently a Moffett, a HIAB half day and a 26 t rigid hired with a driver), DRVX sets the price for that job and shows it on the job sheet before you accept, and you accept or decline at that price. Either way you give your ETA, you don’t quote, and you can’t change the price on the job page. If the price doesn’t suit you, decline and tell us why. A job is only booked once DRVX confirms it to you.
- Don’t invoice or collect from the customer. The customer pays DRVX. Please don’t send the customer an invoice or ask them for payment, and don’t invoice DRVX either: DRVX sends you a self-billing statement (clause 10). Where DRVX has not yet confirmed payment for a job (shown as “Please don’t collect yet” on your job page), don’t collect the goods until DRVX tells you it is covered (paid, or on an approved DRVX credit account).
- Customer money. DRVX collects the price from the customer as your agent and keeps a separate record of it; it does not treat the price as DRVX’s income. If a customer pays DRVX, the customer’s debt to you for that job is settled. Because DRVX pays you on fixed dates under clause 10 whether or not the customer has paid, once DRVX has paid you the net payout for a job, DRVX is entitled to keep the customer’s payment for that job when it arrives and to recover it from the customer in its own name, and you assign to DRVX any right you have to be paid by the customer for that job.
- Commission. For each job DRVX deducts a commission from the customer’s price. The rate depends on the service tier shown on the job sheet: Tier A 10% (minimum £8), Tier B 7.5% (minimum £15), Tier C 5% (minimum £20). The commission is for DRVX’s agency services: finding the customer, booking, customer service and collecting payment.
- Payout. (a) DRVX pays you the customer’s price less the commission (the “net payout”) for each job by bank transfer within 30 days of the end of the calendar month in which the job is delivered and a valid proof of delivery (POD) is uploaded to your DRVX job page (the “payment date”). For example, a job delivered with its POD on 5 November is paid by 30 December. (b) DRVX pays on the payment date whether or not the customer has paid DRVX. (c) With each payout DRVX sends a self-billing statement showing, for every job, the customer’s price, DRVX’s commission and your net payout. You agree that DRVX issues these statements on your behalf and that you won’t issue your own invoices for the same jobs; if you are VAT registered, the statement is a self-billed invoice and you agree to the self-billing terms DRVX gives you under HMRC’s rules. (d) If part of a payout is disputed, DRVX pays the undisputed part on the payment date and tells you why the rest is held. (e) If DRVX pays late, you may claim interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
- VAT. DRVX LTD is not registered for VAT today. If DRVX registers, VAT at the standard rate will be added to the commission only (never to your carriage price), shown on the commission statement and on a VAT invoice from DRVX, and deducted from your payout. Any VAT on the carriage is yours: the listed price, or the price DRVX sets for the job, includes it, so the customer’s quote is final. If you are VAT registered, your ex-VAT price is that price ÷ 1.2: give us your VAT number and account for the VAT to HMRC yourself.
- If the customer doesn’t pay. Card and bank-transfer customers pay before you collect. Credit-account customers are checked and given a credit limit by DRVX before you collect. If a customer pays DRVX late or not at all, DRVX chases the customer, you don’t, and DRVX still pays you under clause 10. The only exception is where the customer doesn’t pay because of how you carried the job (for example a failed, late or damaged delivery) and that complaint is upheld: DRVX will tell you, work with you to resolve it, and may hold back or recover the disputed amount for that job only.
- Extra charges. If a job turns out to be different from the job sheet (extra goods, stops or waiting time, or a failed collection or delivery), tell DRVX before you do the extra work where you can. DRVX will set the extra charge (using the extras in Schedule 1 where they apply) and agree it with the customer, collect it, and pay it to you less commission at the same rate.
- No going direct (non-circumvention). (a) For 12 months after DRVX last books a job for a customer with you (each new booking starts the 12 months again), you must not, directly or through anyone else, solicit, quote for or accept transport work from that customer except through DRVX. (b) If the customer contacts you directly in that period, please tell DRVX within 2 working days and point them back to DRVX. (c) If you carry work for that customer in that period that was not booked through DRVX, you agree to tell us and to pay DRVX a fee equal to the commission DRVX would have earned on that work under clause 9 (or the tier minimum, if that is higher). We will send you a statement and an invoice for it, payable within 14 days. (d) The parties agree that this fee is a genuine and proportionate estimate of the loss DRVX would suffer, and protects DRVX’s legitimate interest in the customers it finds and the cost of finding them; it is not a penalty. (e) This clause doesn’t apply to a customer you can show (for example with invoices or job records) you already worked for before DRVX introduced them to you. (f) It continues for 12 months after this agreement ends.
- Customer details and data. (a) DRVX gives you only what you need to carry the job: the collection and delivery addresses, the on-site contact at each end (name and phone number), the timings, goods and job notes, and the customer’s reference or PO number. Full addresses and site contacts are released once the job is paid or on an approved DRVX credit account; site phone numbers are shown on your job progress page from 24 hours before collection. (b) DRVX never gives you the customer’s own email address, main or account phone number, or billing details. A customer’s own number is only given to you as a site contact if the customer chose to be the site contact when booking. If a site contact is missing, the job sheet says “DRVX will confirm” and DRVX gives you one before collection. (c) You may use these details only to carry that job (including proof of delivery and any claim about it), on DRVX’s behalf and for no other purpose, including marketing. You must keep them secure and confidential, let only the people who need them for the job see them, and delete them within 90 days of delivery unless you need them for an open claim or a legal duty. (d) Tell DRVX without delay, and no later than 24 hours after you become aware, of any loss of, or unauthorised access to, these details. DRVX may ask you to confirm that you have deleted them. (e) Both parties will comply with UK GDPR and the Data Protection Act 2018.
- Ending the agreement. Either party may end this agreement by giving 14 days’ notice in writing. Jobs already accepted are carried and paid for under these terms, on the clause 10 payment date. Clauses 14 and 15 continue after the agreement ends.
- Liability. DRVX is responsible for its own booking and agency services. You are responsible for the carriage. Neither party limits liability for death or personal injury caused by negligence, or for fraud.
- Changes. DRVX may update these terms by giving you 14 days’ notice, except Schedule 1, which follows clause 5. The version in force when you accept a job applies to that job.
- Law. These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
Schedule 1: DRVX partner price list. The figures are set by DRVX LTD’s director from the DRVX rate card and are given to you with the signed agreement (and on request). Standard jobs are vans, 7.5 t lorries, rigids and curtainsider artics, within mainland Great Britain, up to 500 road miles, with up to 5 extra drops. Price = the higher of the minimum charge and the per-mile rate × road miles, plus listed extras (out of hours, tail-lift, timed slot, extra drops) and waiting time. Set prices: specialist work (26 t rigids, artic flatbeds and low-loaders by the mile with a minimum charge, HIAB by the day, crane offload per job) and hire with driver (vans, 7.5 t, 18 t and artics, by the hour or the day). All prices in Schedule 1 include any VAT you charge. Any job without a price in Schedule 1 (currently a Moffett, a HIAB half day and a 26 t rigid hired with a driver) is priced by DRVX for that job and shown on the job sheet before you accept.
Schedule 2: Partner referral scheme (version 4.1, unchanged in version 5.0). This schedule applies only if DRVX approves you for the DRVX partner portal and you accept it there. In it, “referral commission” means the fee DRVX pays you for referrals; it is separate from DRVX’s commission in clause 9.
- Portal. DRVX decides who can use the partner portal and can suspend or end your access at any time. Keep your login private: each person needs their own login, with a password and an authenticator app. Tell DRVX straight away if you think someone else has used it.
- Referral links. DRVX gives you a personal link and QR code for drivers. You share them yourself; DRVX does not contact anyone on your behalf. You may also record people you have invited. Only do so if they know you are passing their name and phone number or email to DRVX. Describe DRVX accurately: joining the driver pool isn’t a promise of work, and DRVX never charges drivers a fee. No spam and no promises of work or pay.
- Companies. You can introduce businesses through the portal. DRVX decides whether to contact them and agrees all rates directly with them. Rates are shown to you only if DRVX chooses to.
- Referral commission. You earn referral commission only at the rates DRVX sets and records in its system for the scheme or for you, as shown in the portal, and only on work that DRVX records as approved or completed: hours on approved timesheets of drivers you referred, a one-off sign-up amount when the trigger shown in the portal is met, and work for companies you introduced once DRVX has won them and agreed their rates. If no rate is set, no referral commission is due. A rate may apply only for a limited time, shown in the portal. DRVX may change rates for future work by giving you 30 days’ notice.
- Not eligible. No referral commission is due for yourself, your staff, directors or associated businesses; for people or businesses DRVX already knew about before your referral; for duplicates (the first valid referral counts, and a sign-up through your link comes before an invite you recorded); or for referrals made by misleading or unlawful means. DRVX’s records decide who referred whom, and DRVX will correct them if they are wrong.
- DRVX can refuse. DRVX may refuse or close any referral and doesn’t have to take on any driver or business you refer.
- Statements and payment. The portal shows a monthly statement. DRVX pays referral commission for a month by bank transfer on the same timetable as clause 10. If you are VAT registered and give us your VAT number, VAT is added on the statement. If work is later cancelled, refunded or not paid for, DRVX may deduct the referral commission paid on it from later amounts.
- Data protection. You and DRVX are each responsible for the personal information you handle. You need a lawful reason to give DRVX anyone’s details, and you must tell them you are doing so. In the portal you see only each referred driver’s name, status, sign-up date, total hours and your referral commission, and for companies, their name, status and your referral commission. Use this only to follow your referrals; don’t copy it elsewhere or contact anyone about their work with DRVX. Tell DRVX straight away about any loss or misuse of portal information.
- Ending. This schedule ends when the agreement or your portal access ends. Referral commission already earned for work done before then is still paid; nothing more builds up after it ends.
Schedule 3: Jobs from freight exchanges (subcontracted jobs). This schedule applies only to a job that DRVX has taken on from a freight exchange (such as Haulage Exchange or Courier Exchange) or another haulier or broker and passes to you as a subcontractor; the job sheet says so. For these jobs:
- DRVX is your customer. DRVX contracts with the poster as carrier and buys the carriage from you. Clauses 2, 5, 7, 8, 9 and 14 don’t apply to the job; the rest of this agreement does.
- Agreed price. The job sheet shows the price DRVX pays you for the job. No commission is deducted. If you are VAT registered, VAT is added to that price.
- Payment. DRVX pays you the agreed price on the clause 10 payment date (within 30 days of the end of the month you deliver with a valid POD), with a self-billing statement, whether or not the poster has paid DRVX.
- Permission and no further subcontracting. DRVX passes you an exchange job only with the poster’s permission. You must carry it with your own vehicles and drivers and must not pass it on, or post it on any exchange or platform.
- No contact with the poster’s customers. Use unbranded vehicles and paperwork where the job sheet asks, don’t give your contact details at collection or delivery, and don’t solicit work from the poster or its customers. Clause 14 applies to the poster and its customers as if DRVX had introduced them.
- POD and queries. Upload a signed POD (paper or electronic) on the day of delivery and answer any query about the job within 2 working days.
- Insurance. Carry the job on RHA Conditions of Carriage or equivalent, with goods-in-transit cover of at least £1,300 per tonne or the higher amount on the job sheet.
